Plain-English summary: By using Vehicle Tracker you enter a contract with Perlicom Systems Ltd, an Irish company. You can track assets you have the legal right to track, you respect drivers' and people's privacy, you don't break the law, and you pay for paid plans. We provide the Service "as is" with the limits set out below. Irish law governs this agreement.

1. Parties and acceptance

These Terms of Service ("Terms") form a binding agreement between you ("you", "Customer") and Perlicom Systems Ltd, a company incorporated in Ireland with registered office at Dalgin, Milltown, Tuam, Co. Galway, Ireland (registration IE 123456, VAT IE9692570W) ("we", "us", "Vehicle Tracker"). They cover your use of the Vehicle Tracker platform, the website at https://vehicletracker.ie, and our official mobile applications (together, the "Service").

By creating an account, signing in or using the Service you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

Vehicle Tracker is a browser-based and mobile platform for real-time GPS tracking of trucks, boats, vans, cars, trailers, plant, bicycles, containers, devices and people. Functionality available to you depends on the plan you are on; see the pricing page for current limits.

We continuously improve the Service. We may add, change or remove features. If we deprecate a feature you actively rely on under a paid plan, we will give reasonable notice and, where required, a pro-rata refund or service credit.

4. Lawful tracking — your responsibility

You may only track assets and people that you are legally entitled to track.

It is your responsibility — not ours — to make sure that:

We act as a data processor for the position data of people you track. Where you are subject to GDPR, you act as the controller. Our standard Data Processing Addendum is available on request from legal@perlicom.com.

5. Subscriptions, billing and consumer rights

5.1 Free trial

The free trial supports up to 5 trackers for 14 days. We may impose fair-use limits to keep the Service available for everyone.

5.3 Cancellation

You may cancel a subscription at any time from the billing screen. Cancellation takes effect at the end of the current billing period; access continues until then. We do not refund partial periods.

5.4 Right of withdrawal — EU and UK consumers

If you are a consumer in the EU or UK, you have a 14-day right to withdraw from a contract for digital services under the Consumer Rights Directive 2011/83/EU. By starting to use the Service before the 14-day period expires you expressly request that we begin performance during the cooling-off period and acknowledge that you lose the right of withdrawal once the Service has been fully performed for the period purchased.

5.5 Price changes

We may change prices for new billing periods. We will notify you by email at least 30 days before a price change applies to your subscription. If you do not accept the change, you can cancel before it takes effect.

7. Hardware and third-party trackers

The Service is hardware-agnostic: any GPS tracker that can post to an HTTPS endpoint will work. We do not warrant the operation of any third-party tracker. If a third-party tracker stops sending positions, that is between you and the hardware vendor.

If we issue you a device-ingest token, you must keep it secret. We may revoke a token at any time if we reasonably believe it is being misused.

8. Content and ownership

8.1 Your content

Position data, geofence definitions, alert rules, names, contact details and any other content you upload through the Service ("Your Content") remain yours. You grant us a limited, worldwide, non-exclusive, royalty-free licence to host, display, process and transmit Your Content solely so we can operate the Service for you.

8.2 Our content

The Service itself, including its software, design, logos and the Vehicle Tracker marks, is protected by copyright, trade-mark and database rights. You may not copy, modify or redistribute it except as expressly permitted by these Terms.

8.3 Feedback

If you send us suggestions or ideas, you grant us a non-exclusive, royalty-free, perpetual right to use them without obligation.

9. Reporting illegal content (DSA notice)

To notify us of illegal content hosted via the Service, email legal@perlicom.com with the URL or reference, the reason you believe the content is illegal, and your contact details. We will acknowledge receipt and act in accordance with our obligations under Regulation (EU) 2022/2065 (Digital Services Act).

10. Suspension and termination

We may suspend or terminate your access to the Service:

11. Service availability and warranty disclaimer

11.1 Best-efforts service

We aim for high availability but do not guarantee it. We do not warrant that the Service will be uninterrupted, error-free, perfectly secure or fit for any particular purpose. You must not rely on Vehicle Tracker alone for safety-critical decisions; if a person's life depends on accurate location data, use a dedicated emergency service. To the fullest extent permitted by law, all warranties not expressly given in these Terms are disclaimed.

11.2 Mandatory consumer rights

If you are a consumer, none of the disclaimers in §11.1 limit your statutory rights under Irish or EU law (including the European Union (Sale of Goods and Supply of Digital Content and Digital Services) Regulations 2022).

12. Limitation of liability

Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded — including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for breach of mandatory consumer-protection rights.

13. Indemnity (business users only)

If you use the Service other than as a consumer, you will indemnify and hold harmless Perlicom Systems Ltd, its directors, officers, employees and processors from any third-party claim arising out of (a) Your Content, (b) your breach of these Terms, (c) your unlawful tracking of an asset or person, or (d) your breach of applicable law.

14. Data protection and DPA

Your personal data is processed in accordance with our Privacy Policy. If you process personal data of others through the Service in the course of business — for example, drivers, contractors or customers — we act as your processor for that data. Our standard Data Processing Addendum is available on request from legal@perlicom.com and, once signed, forms part of these Terms.

15. Changes to these Terms

We may amend these Terms. For material changes we will post a notice and email registered users at least 30 days before the change applies. Continued use of the Service after the effective date is acceptance.

16. Governing law and venue

These Terms and any non-contractual obligations arising from them are governed by the laws of Ireland. The Irish courts have exclusive jurisdiction, except that:

17. Force majeure, assignment, severability

Neither party is liable for delays or failures caused by events outside its reasonable control. You may not assign these Terms without our written consent; we may assign or novate to a successor on notice. If any clause is found unenforceable, the rest stays in force.
